Effective Date: February 12, 2026
Effective date: 12 February 2026
These Terms explain the agreement between 10Yad Solutions LLC, referred to as 10Yad, we, us or our, and the person or business purchasing or using our services, referred to as you or your. They cover our website, business software, agency packages and other services identified in your Order.
1. Accepting these Terms
You accept these Terms when they are presented to you and you agree through a signature, an acceptance box, an accepted checkout or another clear method of agreement. Visiting our website alone does not authorise a charge or enrol you in an agency package.
If you accept for a business, you confirm that you have authority to bind that business. References to you include that business where appropriate.
Mandatory legal rights continue to apply. Nothing in these Terms excludes rights or obligations that the law does not allow the parties to exclude.
2. Your Order and the agreement
Your Order is the written proposal, order form, checkout summary or service agreement that you accept. It must identify the services purchased, agreed fees, payment schedule, service duration, usage limits, renewal arrangements and any special cancellation or refund conditions before you commit to the purchase.
Your agreement consists of these Terms, your accepted Order and any applicable service agreement or data processing agreement. A specific provision in a signed or otherwise expressly accepted service agreement or Order takes priority over a general provision in these Terms on the same subject. A data processing agreement controls conflicts concerning the processing of personal information. Mandatory law and legally required disclosures always take priority.
We will provide a copy or accessible record of your accepted Order and the applicable Terms. An invoice, later website edit or unaccepted proposal does not by itself change an existing agreement. Changes to agreed scope, pricing or commitments require the agreement or lawful notice described in these Terms.
3. Eligibility and account security
You must be legally able to enter into the agreement. Agency packages are intended for adults purchasing for a business purpose. Applicable consumer protections still apply where the law treats a purchaser as a consumer.
Provide accurate account and billing information, keep it current and protect your login details. You are responsible for the users you authorise and their use of your account, except to the extent a problem results from our failure to meet our own obligations. Tell us promptly if you suspect unauthorised access.
4. Services and package scope
Our services may include customer management software, call handling, messaging, appointment booking, automation, websites, onboarding, training, technical support, agency launch assistance and financial wellness tools. Availability depends on your Order.
Your purchase includes the services and quantities described in your Order. A feature shown in a demonstration or offered in another package is included only where it forms part of your agreed purchase. We must accurately describe what we sell and honour agreed commitments.
Your Order must identify how long access, hosting and support continue. A one-time launch fee does not transfer ownership of the underlying platform. Any promise of continuing access or unlimited usage remains subject to the conditions clearly disclosed and accepted before purchase. We will not introduce an undisclosed usage cap to withdraw an agreed benefit.
5. Agency packages and your business
An agency package allows you to operate your own business using the services and resale rights stated in your Order. You are responsible for your business administration, sales activity, customer relationships and obligations to your clients, except for tasks we expressly agree to perform.
The description Agency Partner does not make either party the legal agent, employee or partner of the other. You cannot make commitments, incur debts or sign agreements on behalf of 10Yad without our written authority.
Unless your Order expressly provides otherwise, resale rights are non-exclusive. No exclusive territory, industry or customer category is reserved for you. You may resell only the services and forms of access authorised in your Order and only while the relevant permission remains in effect.
We will comply with any disclosure, registration or waiting-period requirements that legally apply to the offer or sale of an agency package. These Terms do not replace those requirements or waive protections available to a buyer.
6. Setup and delivery
We will carry out agreed work with reasonable care and skill. Your Order should identify deliverables, estimated timelines, responsibilities and any acceptance process. A delivery date is a binding deadline only where expressly agreed as such.
You must provide the information, content, permissions and approvals reasonably needed for the work. Delays in receiving them may affect delivery. We will explain material delays and agree a practical revised schedule. We will not impose additional charges for delays unless the basis for those charges was disclosed and accepted.
We will give you a reasonable opportunity to review deliverables and report material departures from the agreed scope. Corrections needed to meet that scope are included. Additional features, redesigns and revisions outside the agreed allowance require an accepted change in scope and any associated fees. Opening an account alone does not establish that all launch work has been completed.
7. Software rights and branding
Subject to your agreement and payment obligations, you receive a limited right to use the platform and provide authorised access to your users or clients. The software, reusable systems, templates, workflows and underlying technology remain the property of 10Yad or the relevant rights holder.
Your agency may use its own business name and approved branding as described in your Order. The platform, applications or service communications may retain 10Yad or third-party branding. Complete removal of that branding or custom application publishing must be expressly included in your Order.
You must not copy or distribute proprietary software, remove required notices, provide unauthorised access or reverse engineer the platform, except where the law permits the activity despite this restriction. Authorised client resale rights are governed by your Order.
8. Websites and other deliverables
Your Order should state the website work, hosting, domain arrangements, revisions and transfer rights included. You must have permission to use materials you supply.
You retain your rights in your supplied content and business branding. For fully paid original website content we create specifically for you, you receive a continuing licence to use and modify that content for your business, unless your Order expressly transfers ownership or provides different rights. Pre-existing templates, third-party assets, software and platform components remain subject to their own licences.
Domain registration, hosting access and migration assistance are governed by your Order and relevant provider requirements. We will explain material transfer restrictions before you purchase.
9. Client relationships and billing responsibilities
Your Order must identify who contracts with your clients, who collects their payments and who is responsible for support, cancellations, refunds, chargebacks and unpaid bills. An agreement between you and your client does not bind 10Yad unless we expressly join it.
You must describe the services accurately and give your clients appropriate terms and privacy information. You cannot promise features, guarantees, support levels or discounts that require us to do work we have not agreed to perform.
Any revenue share or payment we distribute to you must follow a written arrangement covering the calculation, permitted deductions, settlement timing and treatment of refunds and disputed payments. Payments already earned remain subject to that arrangement when the relationship ends.
We may contact clients as reasonably necessary to provide authorised services, address billing or security issues, meet legal obligations or carry out an agreed transition. Any other use of client information must have an appropriate legal basis and comply with the applicable agreement and privacy notices.
10. Sales activity and earnings
You are responsible for finding and retaining clients unless your Order expressly includes defined assistance. We do not guarantee a particular number of prospects, customers, appointments, sales, revenue, profit or a return of your investment.
Results depend on factors including your activity, pricing, expenses, market conditions and customer retention. Gross subscription revenue is different from profit or personal income. Any financial illustration must be understood with its stated assumptions and costs.
We remain responsible for making truthful, properly supported sales claims and for providing legally required disclosures. These Terms do not excuse misleading advertising or require you to give up rights arising from an unlawful representation.
11. Prospecting tools
Prospecting tools, business directories and lead research are included only where your Order says so. They may help identify businesses to approach. Data may contain errors, become outdated or duplicate other records, and no sale or response is guaranteed.
A contact appearing in a database does not establish permission to send marketing or make automated calls. Before using a contact, you must check the legal basis for the intended outreach and follow applicable platform restrictions. We remain responsible for our own data collection and services.
12. Fees and payment
You agree to pay the fees and applicable taxes disclosed in your Order. Depending on the purchase, charges may include launch work, subscriptions, client accounts, hosting, usage, integrations, third-party services or additional work you approve.
We will disclose mandatory charges and the basis of variable charges before you accept them. We will not add a new category of paid service without your authorisation. Your Order must distinguish included usage from separately billed usage and explain any relevant overage rates or spending controls.
You authorise charges to your chosen payment method only as agreed. Recurring payments require your clear agreement to the billing frequency and renewal terms. Instalments may be a payment plan for an agreed total project price; they do not automatically create a subscription that can be cancelled without considering the project agreement.
If a payment fails, we may ask you to update payment details and, after reasonable notice, suspend affected services. Any late or collection charges must have been disclosed, be reasonable and be permitted by law. Please report suspected billing errors promptly. Nothing here removes lawful rights to dispute a payment.
13. Subscriptions and cancellation
Any minimum commitment, renewal period and cancellation deadline must be clearly stated in your Order. Automatic renewal applies only where you expressly agree to it.
You may submit a cancellation request through available account controls or the support channels identified in your Order or section 30. We will provide a straightforward cancellation method and any additional method required by law. We will confirm the effective date and explain any remaining agreed obligations.
Unless your Order provides a more favourable arrangement or the law requires otherwise, cancellation of a recurring subscription takes effect at the end of the current paid billing period and stops the next renewal. Fixed-term commitments and project payment plans are governed by their disclosed terms and the refund provisions below.
We will give reasonable advance notice of any proposed recurring price increase, allowing you to cancel before it takes effect. Agreed fixed-term prices remain in force for that term unless a clearly disclosed adjustment mechanism applies or you accept a change.
14. Refunds and failure to deliver
Your Order must disclose any deposit, milestone payments and special refund conditions before you pay. Unless a different lawful policy is clearly agreed in your Order, the following applies:
Fees for completed work, services already provided and authorised third-party costs that cannot be recovered are non-refundable, except where required by law or where the work materially fails to meet the agreement.
Subscription cancellation does not normally create a refund for the current paid billing period, subject to applicable law and the remedies in this section.
If a launch project ends before completion, we will account for completed work and authorised non-recoverable costs and refund the remaining prepaid amount for work we will not deliver. We will not charge more than the agreed project price for those items.
If we materially fail to provide an agreed service, tell us what is wrong and allow a reasonable opportunity to correct it, unless the law allows an immediate remedy. If we cannot correct the problem within a reasonable time, you may terminate the affected service and receive a refund for prepaid services or work we have not delivered, together with any additional remedy required by law.
The remaining amount due under an instalment plan must reflect the Order, any applicable cancellation adjustment and these refund rules. A lack of sales or business income does not by itself show that agreed launch or technical services were not delivered.
15. Support and availability
Support recipients, channels, covered tasks, response commitments and any service levels must be described in your Order. A commitment to 24/7 support means the support availability expressly described there. It does not guarantee that every issue will be resolved immediately. Any restrictions on round-the-clock access must be clearly disclosed before purchase.
Support covers the agreed services. Custom development, unrelated software, new marketing campaigns and additional training require separate agreement where they fall outside that scope.
We will use reasonable efforts to keep services available and address faults. Maintenance, internet problems and provider incidents may interrupt service. We will provide reasonable notice of planned maintenance where practical and communicate material interruptions. Any agreed availability guarantee or service credit remains binding.
16. Third-party services and platform changes
Services may depend on independent providers, including hosting, communications, payment, messaging and software providers. Their relevant terms, approvals and technical restrictions may apply and must be made available where they affect your use.
We cannot guarantee decisions made by an independent provider, including messaging approval, number portability or continued availability of an integration. We remain responsible for our own commitments, reasonable provider management and actions within our control.
We may make reasonable security, legal and technical updates. A material reduction in a paid service during an agreed term requires an appropriate solution, such as a reasonably equivalent replacement, your agreement to a change or an applicable termination and refund remedy. Provider changes do not give us an unrestricted right to withdraw agreed services while retaining payment for undelivered work.
17. Automated tools and artificial intelligence
Automated systems, including voice and messaging tools, can misunderstand requests, produce inaccurate information, miss communications or make booking errors. You must provide accurate instructions, test important workflows and use appropriate human oversight. We remain responsible for the setup, testing and support work we agree to perform.
You must not rely on the services as an emergency response system or use them to make regulated or high-impact decisions without appropriate safeguards and professional oversight. Any legally required disclosure about automated interactions must be provided by the party responsible for that interaction.
18. Responsible use
You must use the services lawfully and within the agreed scope. You must not use them for fraud, harassment, unlawful discrimination, malicious software, impersonation, unauthorised access, infringement or unlawful marketing.
You must not evade security controls, bypass agreed account limits, overload shared infrastructure or provide inaccurate information to a carrier or platform provider. We may apply proportionate safeguards to protect the service and other users.
Before using the platform for sensitive or regulated information, confirm that the relevant service, agreements and safeguards are suitable. A separate legally required agreement, such as a healthcare business associate agreement, must be in place before processing information that requires it.
19. Calls and messaging compliance
Each party must meet the communications laws and platform requirements that apply to its activities. Depending on the activity and location, these may concern marketing calls, automated or artificial voices, SMS, email, WhatsApp, recording notices, consent, identification and opt-outs.
For campaigns you direct, you must establish the required permissions, maintain appropriate records, respect do-not-contact requests and provide accurate sender information. We must perform any agreed suppression and compliance functions correctly. Allocating tasks does not remove either party’s legal responsibilities.
Purchasing a service does not by itself consent to marketing messages from 10Yad. Where you separately opt in, our messages may include the categories disclosed at opt-in. Frequency varies, and message and data rates may apply. You may withdraw consent by replying STOP where supported or by another reasonable method allowed by law. Reply HELP where supported, or use section 30 for assistance. Carriers are not liable for delayed or undelivered messages to the extent permitted by law.
We do not sell or share mobile information or SMS opt-in records with third parties or affiliates for their own marketing. We may provide limited information to authorised service providers to deliver messages, maintain consent records or meet legal obligations, subject to appropriate restrictions.
20. Personal information and client data
Our Privacy Policy explains how we handle personal information for our own business purposes. An applicable data processing agreement governs personal information we process for you or your clients. Agreeing to these Terms does not replace any separately required privacy notice, consent or transfer safeguard.
You retain your rights in your business content and records, subject to the rights of the people concerned and any relevant third-party rights. You must have authority to upload and instruct us to process the information you provide.
We may access that information only as reasonably needed to provide and secure the agreed services, follow lawful instructions, provide support or meet legal obligations. Any further use must have an appropriate legal basis and comply with applicable notices and agreements. We will not treat access to client data as permission to sell it or use it for unrelated marketing.
Where required, the data processing agreement must address roles, permitted processing, security, confidentiality, subprocessors, international transfers, incident notification, rights requests, retention and deletion. We will use reasonable safeguards and notify the appropriate party of relevant security incidents as required by law and that agreement. No system can guarantee complete security.
21. Confidentiality
Each party must protect confidential business, technical and client information received from the other. It may use that information only to fulfil the agreement, exercise lawful rights or meet legal obligations. Disclosure is limited to people who need the information and are bound by suitable confidentiality duties, or where disclosure is required by law.
This restriction does not cover information that becomes public lawfully, was already lawfully known, is independently developed or is received lawfully without a confidentiality restriction.
Nothing in these Terms prevents honest reviews, reports to regulators, lawful whistleblowing or obtaining professional advice. Confidentiality must not be used to suppress a truthful account of a customer’s experience.
22. Financial wellness tools and optional benefits
This section applies only if your Order includes financial wellness tools or related benefits. Tools may help organise information, track spending or provide educational material. Outputs depend on the information available and may contain errors or delays.
10Yad is not a bank. General educational information does not replace individual advice from an appropriately qualified financial, tax, legal or medical professional. Any regulated service or account connection requiring separate authorisation must follow the applicable agreement and law.
Optional services provided by independent professionals or benefit providers are subject to their disclosed eligibility, coverage and service terms. We will identify what is included before purchase. We remain responsible for our own descriptions and agreed obligations. Terms specific to an existing financial wellness purchase continue to apply unless lawfully changed by agreement.
23. Suspension and ending services
We may suspend affected services where reasonably necessary because of overdue undisputed payments, a material breach, a security risk, unlawful activity or a binding provider or legal requirement. We will normally give notice and a reasonable opportunity to resolve the issue. Immediate action may be necessary to prevent harm or comply with law; we will explain it as soon as reasonably possible where permitted.
We may end the affected agreement for a material breach that is not corrected within a reasonable notified period, or immediately where the breach cannot reasonably be corrected or continued service would be unlawful.
Either party may end a service as allowed by the Order or these Terms. If we discontinue a paid service for our convenience, we will provide reasonable notice and refund prepaid charges for the undelivered portion, subject to applicable law. Ending one service does not automatically end unrelated services.
24. What happens when services end
Access and resale permissions end when the relevant agreement ends, except for rights expressly stated to continue. Amounts properly due remain payable, subject to applicable refunds and adjustments. We will explain the effect on active client accounts and cooperate with any agreed transition.
Your Order or data processing agreement must identify the export period, available formats, retention and deletion arrangements and any migration charges before purchase. We will give reasonable notice before routine deletion and provide a reasonable opportunity to obtain information you are entitled to receive, subject to lawful security restrictions.
Export does not include proprietary software, reusable templates or third-party assets you have no right to receive. Website, domain and phone number transfers depend on the rights agreed and applicable provider or legal requirements. We may retain records where required for legal obligations, disputes or legitimate security purposes, with appropriate protection.
25. Service standards and warranties
We will provide agreed services with reasonable care and skill and materially in line with the Order. Express promises in your accepted agreement remain binding.
Subject to those commitments and mandatory law, we do not promise that every service will be uninterrupted, error-free or suitable for an undisclosed purpose, or that a particular commercial result will follow. You should promptly report material faults so we can investigate and provide an appropriate remedy.
Nothing in this section removes a statutory warranty, guarantee or remedy that cannot lawfully be excluded.
26. Limits on liability
To the extent permitted by law, neither party is liable to the other for indirect or consequential losses arising from the agreement, including consequential loss of profit, revenue or opportunity. This does not remove an expressly agreed refund, payment obligation or mandatory remedy.
Subject to the exceptions below and any different expressly agreed limit, each party’s total liability arising from an affected Order is limited to the fees paid or payable under that Order for the twelve months preceding the event giving rise to the claim. For claims relating to launch or project work, the calculation also includes the applicable one-time launch or project fee, without counting it twice. Related claims are counted together.
These limits do not apply to fraud, deliberate misconduct, gross negligence, liabilities that cannot lawfully be limited or your obligation to pay properly due fees. Any different limit for a particular risk must be expressly agreed. Each party must take reasonable steps to reduce avoidable loss.
27. Third-party claims
You are responsible for reasonable costs and amounts finally awarded or properly settled in a third-party claim to the extent caused by your unlawful campaigns, materials that infringe another person’s rights, or your unauthorised promises to clients. You are not responsible under this section for the portion caused by our breach, negligence or unlawful conduct.
We are responsible on the same basis for a third-party claim that original materials we create and supply infringe intellectual property rights, except to the extent the claim results from materials you supplied, unauthorised changes or use outside the agreed scope. We may obtain the necessary rights, provide a materially equivalent replacement or end the affected service with an appropriate refund if a reasonable solution is unavailable.
The party seeking protection must promptly notify the other, provide reasonable cooperation and allow a reasonable opportunity to manage the defence. A settlement cannot impose an admission, non-monetary obligation or unpaid liability on the protected party without consent, which must not be unreasonably withheld. The liability limits above apply to this section unless an exception expressly applies.
28. Governing law and disputes
The agreement is governed by Wyoming law and applicable United States federal law, subject to mandatory protections that apply in another jurisdiction. Please contact us with a description of a dispute so we can try to resolve it. This does not delay urgent relief, a legal deadline or a protected right to complain to an authority.
For business purchases, covered disputes that cannot be resolved informally will be decided by binding arbitration administered by the American Arbitration Association under its applicable Commercial Arbitration Rules, before one arbitrator. The Federal Arbitration Act governs the arbitration agreement. Each party gives up a court trial, including a jury trial, for claims validly subject to arbitration.
Hearings may take place remotely as agreed or permitted by the applicable rules. Any in-person hearing will take place in Wyoming unless the parties agree otherwise or mandatory law or the applicable rules require another location. Fees, costs and available remedies will be determined under the applicable rules and law. Either party may bring an eligible individual claim in small claims court or seek temporary court protection where permitted.
If applicable law treats your purchase as a consumer purchase, this section does not require you to give up a non-waivable right to a local court or another statutory dispute process. Consumer arbitration requires a separate valid agreement where necessary. Courts with proper jurisdiction may hear matters that cannot lawfully be arbitrated and may support or enforce an arbitration award. Any mandatory local court rights remain available.
29. Updates and general provisions
We may update these Terms for future purchases and will show the effective date. A website update does not retroactively change an accepted Order or remove an existing right. Changes to an ongoing agreement require your acceptance or a clearly agreed lawful update process, with reasonable notice and an opportunity to exercise any cancellation rights. Material changes to price or scope follow the specific protections above.
Neither party is responsible for delay caused by events genuinely outside its reasonable control, provided it takes reasonable steps to reduce the impact and informs the other party. This does not excuse payment for services already delivered or remove a remedy for prepaid services that cannot be supplied.
You may transfer the agreement only with our reasonable written consent where a transfer affects platform or service rights. We may transfer it as part of a genuine business reorganisation or sale if your contractual rights are preserved, we give appropriate notice and applicable law is followed.
If a provision is unenforceable, the remaining provisions continue where legally possible. A failure to enforce a right immediately does not waive it. Provisions that need to continue after termination, including payment adjustments, confidentiality, data protection, ownership and dispute provisions, continue as appropriate.
The written agreement records the agreed commercial terms. It does not exclude liability for fraud or unlawful sales statements, contradict a required disclosure or prevent evidence of a legally binding promise. Electronic signatures and accepted electronic records may be used where legally recognised.
